Agility Robotics expects to close its Churchill Capital XI SPAC merger on November 4 and begin trading on Nasdaq as AGLT on November 5; no page we read confirms the closing yet
Agility Robotics and Churchill Capital XI expect their SPAC merger to close November 4 and trade as AGLT November 5. No page we read confirms either.
As of November 4, 2026, Agility Robotics, maker of the Digit humanoid robot, and Churchill Capital Corp XI (Nasdaq: CCXI), a special purpose acquisition company (SPAC), expect to close their merger on November 4 and to trade on Nasdaq as AGLT on November 5. No page we read confirms that either has happened. This is a SPAC merger, not a classic IPO, and neither investment nor legal advice.
The essentials
- Done: Churchill XI shareholders approved the merger on November 2 with more than 84% of votes cast; the SEC declared the S-4 effective on October 13.
- Expected, not confirmed: closing on November 4; Nasdaq trading as AGLT on November 5, warrants as AGLTW.
- The money: about $465 million gross before fees is expected, less than the more than $620 million expected in June.
- Not established: the closing, any trading or price, the redemptions, revenue, losses and margins.
What is done
On October 30, Agility Robotics (Salem, Oregon) and Churchill XI announced expected gross proceeds of about $465 million before fees, after the redemption deadline for Churchill XI shares (joint release, 8-K). The SEC declared the joint S-4 effective on October 13 (Yahoo Finance, release). On November 2, shareholders approved the merger at an extraordinary meeting (The Robot Report, Manufacturing Dive).

What is expected
No page we read confirms any of this.
- Closing: November 4, subject to customary conditions (release, The Robot Report, Manufacturing Dive).
- Trading: common shares as AGLT on November 5, warrants as AGLTW (Manufacturing Dive, Startup Fortune; the release gives no warrant symbol). The combined company will be called Agility Robotics.
- Other terms: Churchill XI is to move from Cayman Islands to Delaware law (Manufacturing Dive). Existing Agility shareholders keep their shares, with a 180-day lock-up from closing (release).
Startup Fortune's headline says "Begins Trading", but its body is in the future tense. We do not treat it as confirmation.
Where the $465 million comes from
All three parts are expected amounts before fees, per the release:
- about $164 million from Churchill XI's trust account;
- about $201 million from a private placement (PIPE) at $10 a share led by Foxconn, with existing and new investors;
- $100 million of equity financing already received after the merger announcement.
The Robot Report notes the total is below the more than $620 million expected at the June announcement. The redemption amount is not given; the gap points to sizeable redemptions, but we give no percentage.

The company: what Agility says
- Customers: Digit is deployed at nine customer sites (The Robot Report, Manufacturing Dive). GXO extended a 2024 robots-as-a-service deal in October to two more sites, for early 2027. AGCO signed an October agreement for a pilot in Kansas from 2027.
- Digit 5: unveiled September 15, with early-access deliveries targeted for the first half of 2027. The release cites more than $300 million of multiyear committed orders, described as potential value subject to milestones, not current revenue.
- Targets, not achieved: 25 sites and 100 customers by the end of 2027. The RoboFab plant in Salem is designed for up to 10,000 robots a year: a target capacity, not demonstrated production.
- Warnings in the release: closing may not happen on time or at all, heavy redemptions could leave too little cash, and market acceptance is uncertain.
What is not established
The actual closing; the start of trading and any price; the redemption amount; whether the $2.5 billion pre-money valuation was revised; revenue, losses and margins, not disclosed in the pages read; the 2027 targets; the real value of the Digit 5 orders.
