Marvell to buy Lumentum for $115 billion in an all-stock bet on AI optics
Marvell agreed to buy Lumentum in an all-stock deal valued at $115 billion. The terms, the optical logic, the market reaction, and what is still open.
As of November 2, 2026, Marvell Technology has agreed to acquire Lumentum in an all-stock deal that values Lumentum at an implied enterprise value of $115 billion, according to the press release filed by Lumentum with the SEC. Each Lumentum share would convert into 4.500 Marvell shares. Closing is expected in the first half of 2028, subject to shareholder and regulatory approvals. Both stocks fell sharply on the day. We did not read the New York Times coverage of the deal.
The essentials
- The terms: a fixed ratio of 4.500 Marvell shares per Lumentum share, about $1,132 per share and a premium of about 23.9% over the October 28 close. After the merger, Marvell holders would own about 67% and Lumentum holders about 33%.
- The industrial logic: Marvell brings electrical and optical interconnect, switching and custom chips; Lumentum brings lasers, optical modules and optical circuit switching.
- The market reaction: per Yahoo Finance, Marvell fell more than 10% and Lumentum about 15% during the day, intraday moves rather than closes.
- What stays open: regulatory outcomes, the real value of the offer, and whether shareholders approve.
What are the terms of the deal?
Both boards approved the deal unanimously. Matt Murphy stays chief executive of the combined company, and three Lumentum directors, including its chief executive Michael Hurlston, would join Marvell's seven-member board. The release does not name a headquarters, a break-up fee or any customer.
The figure of 4.500 shares is fixed, so the dollar value moves with Marvell's share price. The release gives an enterprise value of $115 billion but no separate equity value.

Why is Marvell buying a laser maker?
The companies say optical connections are becoming central to AI data centers, from links between distributed sites to links inside a single package. Marvell contributes electrical and optical interconnect, network switching, custom XPUs and advanced semiconductor technology. Lumentum contributes high-performance lasers, optical transceivers, optical circuit switching and compound-semiconductor manufacturing, including indium phosphide.
Together they describe a portfolio spanning advanced CMOS, silicon photonics, compound semiconductors and advanced packaging, and an addressable market of $550 billion (their figure). They also cite visibility on more than $1 billion of annual cost savings and accretion to Marvell's non-GAAP earnings per share in the first year. Murphy, quoted by Yahoo Finance, spoke of AI infrastructure shifting toward optical connectivity. Marvell is already a customer for Lumentum's lasers, per TechNews, so the deal changes a supplier relationship. Nvidia invested $2 billion in Lumentum in March (TechNews).

How did the market react?
Rumors of talks surfaced on October 28-30 through anonymous sources (TechNews). Marvell fell more than 13% on October 29. On November 2, Yahoo Finance reported Marvell down more than 10% and Lumentum down about 15%; Investing.com pages showed intraday moves as large as -12.7% and -18.6%. Yahoo links Lumentum's fall to the all-stock structure, which ties its holders to Marvell's shares. Yahoo adds that Marvell's decline has cut the real value of the payout since October 28. Both stocks had risen sharply this year, per Yahoo: Marvell about 120% and Lumentum about 100%.
Analysts cited by TechNews before the announcement raised concerns: a high premium (Jay Goldberg, Seaport), short-term earnings dilution (Tore Svanberg, Stifel), and customers questioning the sale of capacity reportedly reserved through fiscal 2029 (Amit Daryanani, Evercore ISI). Northland said the deal shows the value of rare photonics capabilities and upgraded Coherent. Those are their views, not ours.

What is not established?
The equity value (one Reuters figure circulating was seen only in a summary, so we do not use it) and the November 2 closing prices. Whether US and Chinese authorities clear the deal, and how long that takes. Whether the savings materialize. The effect on Lumentum's other customers. Whether shareholders approve.
