Oracle caps new AI funding at $20 billion and sets a cash-flow date
Oracle capped new AI funding at $20 billion and targets positive free cash flow in fiscal 2028. What the filings say, the Nvidia plan, what is unproven.
As of November 3, 2026, Oracle says it will limit new capital raising to $20 billion over fiscal 2027-2030, excluding refinancing, and aims for positive free cash flow in the second half of fiscal 2028. On November 2 it filed for $10 billion of shares and $10 billion of senior notes. The Nvidia expansion is a plan, not a dated purchase. These are management targets, not guarantees.
The essentials
- The cap: $20 billion over fiscal 2027-2030 ($10 billion equity, $10 billion gross debt), excluding refinancing, and separate from the $20 billion of at-the-market equity already raised in the first quarter of fiscal 2027.
- The cash-flow date: "second half of fiscal 2028" is Oracle's fiscal calendar (fiscal year ends May 31), so roughly December 2027 to May 2028, not the second half of calendar 2028.
- The November 2 filing: $10 billion of common stock plus $10 billion of senior notes, neither conditional on the other.
- The Nvidia expansion: a planned multi-gigawatt scale-up of OCI Superclusters, with no date, amount or purchase commitment.
What does the $20 billion cap say exactly?
Oracle's investor day release (October 28, read through its SEC filing) commits to limit additional capital raising to $20 billion over the fiscal 2027-2030 investment cycle, excluding refinancing. It is currently split into $10 billion of equity and $10 billion of gross debt.
Global Business Outlook writes that the $20 billion would cover only the rest of fiscal 2027, which contradicts the release. The sources differ and we follow the release.

What does "positive in the second half of 2028" mean?
Oracle's fiscal year ends May 31, so fiscal 2028 runs June 2027 to May 2028 and its second half is December 2027 to May 2028. Oracle also targets free cash flow of $30 billion or more in fiscal 2029, self-funded growth, and net debt to adjusted EBITDA below 3.5x (net debt includes borrowings, vendor financing and leases, less cash). Capital spending is to peak in fiscal 2027-2028 and fall in 2029, with no amount given. Fiscal 2030 targets: revenue of $225 billion or more, non-GAAP margin of 40% or more, non-GAAP EPS of $21 or more.

What is in the November 2 filing?
The prospectus covers $10 billion of common stock (price not set; the illustrative 76,528,659 shares assume $130.67, the October 30 close) and, in parallel, $10 billion of senior notes. Neither deal depends on the other. Proceeds are for general purposes, including capital spending and debt repayment. Oracle agrees not to issue other shares for 60 days, with exceptions. Note terms are not in the text we read.
The prospectus cites about $236.1 billion of debt ranking ahead of the shares on August 31, plus up to $19.7 billion available under credit lines. Another outlet cites $125.34 billion of borrowings; the measures differ and we do not reconcile them.
Media reported the shares up about 10.7% at the October 28 close, then down about 3% pre-market after the filing (BigGo; another source says 7.5%). Those figures are intraday and inconsistent. Analysts quoted by Investing.com were impressed but cautious on execution.
What is actually announced with Nvidia?
Nvidia's release of October 27 (Oracle AI World) says Vera Rubin NVL72 and Vera CPUs are generally available on OCI. Oracle and Nvidia plan to extend OCI Superclusters to multiple gigawatts, with no date, amount or purchase commitment stated. HGX Rubin NVL8 is planned, undated. The release says OpenAI trained and served GPT-6 Astra on an OCI Supercluster in Abilene. Jensen Huang's estimate of up to $40 billion of revenue per gigawatt for Nvidia is a supplier estimate, not a deal term.
Per Futurum, citing Oracle, Google TPU 8t/8i and Cerebras are planned for 2027; SambaNova and Intel are undated. Futurum notes that backlogs are not revenue.

What is not established?
The value, term and purchase commitment of the Nvidia expansion; the multi-gigawatt timeline; the final share price and the closing of the notes; whether Oracle meets the fiscal 2028 date; the exact scope of its debt measure; and the gap between "2027-2030" and "rest of fiscal 2027".

No. The cap is $20 billion over fiscal 2027-2030, excluding refinancing and separate from the at-the-market equity already raised. One source describes the period differently; we follow the release.
When does free cash flow turn positive?
Oracle targets the second half of fiscal 2028, that is December 2027 to May 2028. It is a target, not a guarantee.
Is there a priced Nvidia purchase contract?
None is disclosed. The release gives no amount or purchase commitment, and says product plans are not delivery commitments.
Method and limits
We read eight sources on November 3, 2026. Oracle's pages were read through an automated summary, the prospectus only on its first 100,000 characters. Oracle's AI World release returned an error, so we used Nvidia and Futurum. Secondary media vary in quality. We ran no tests and give no investment advice.
